Evidence of SEC effectiveness and SIPC coverage: Current
FINRA membership as a Dealer will satisfy this requirement.
Registration of a Qualifying Principal. Provide written
designation of a principal (name & CRD number) and submit
U-4 through CRD requesting registration in Florida. Financial Statements (Use Broker-Dealer Financial Statement Cover Page to submit all financials): Submit the
audited financial statement for the firm's most recent
fiscal year end. The Focus Report Part III is acceptable for this requirement. In addition, if the financial is more than 90 days prior to the date of application, submit an unaudited financial
statement certified by an officer as true and correct,
notarized, and dated within 90 days of the application date
(this MAY NOT be faxed to the Office). The Focus Report Part
II-A is acceptable for this requirement, and may be faxed to
the Office. This information may be faxed to the
Office at (850) 410-9748.
OR
If the firm has been in operation for less than a year, and does not have audited statements available, submit an
unaudited financial certified by an officer as true and correct, notarized, and dated within 30 days of the date of filing. This MAY NOT be faxed to the
Office. Additional Information as Required: The
Office has the authority to request additional information as it deems necessary. Submit financial statements and any other information requested to the

REQUIREMENTS FOR MAINTAINING REGISTRATION AS A BROKER/DEALER Filings accepted through WebCRD: Amendments to Form BD: All registrants shall file changes to their registration information through WebCRD with the exception of branch offices which shall be submitted directly to Florida pursuant to Rule 69W-600, F.A.C. Termination of Firm Registration: All registrants shall file Form BD-W Notice of Termination through WebCRD pursuant to Rule 69W-600, F.A.C. Renewal of Firm Registration: WebCRD shall collect renewal fees for all broker/dealers registered in Florida. The renewal deadline for firms and agents is December 31st each year. (Ch. 517.12(11), F.S.) Registration of Associated Persons: All persons defined pursuant to Rule 69W-200.001, F.A.C. as an associated person shall file applications, amendments, renewal fees and terminations through WebCRD. If the State determines that supporting information is warranted, you will be notified. Filings required to be submitted directly to Florida:

Branch Office
Registration:
FINRA Member Firms: All branch office applications, amendments, fees and terminations shall be filed directly with the State on the
Form BR through WEBCRD. Branch office information will not be accepted through any other means. An application for branch office registration must be approved
prior to the conduct of any business. See Branch Office Requirements and Registration Form pursuant to Rule 69W-600, F.A.C.
Non-FINRA Member Firms:
All branch office applications, amendments, fees and terminations shall be filed directly with the State on the
Form BR. An application for branch office registration must be approved

Branches: The Renewal deadline for branch office registration renewal is
December 31st of each year. The renewal fee of $100 per branch is
assessed and collected by CRD. It is incumbent upon the registrant, not
the Office, to ensure that the renewal payment is submitted
timely.

Financial Statements. Financial statements are NOT required to be filed with the
Office if the firm is a member of the FINRA or other self regulatory agency that requires annual financial statements to be filed with that agency pursuant to Rule 69W-300.002, F.A.C. unless used to notify the state of a net capital violation pursuant to 69W-600.016, F.A.C.. Otherwise, financial statements shall be filed with the
Office within ninety (90) days after the registrant’s fiscal year end.
